By downloading, installing, or using ContractShield ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

ContractShield is a mobile application that analyzes contracts and legal documents to identify potentially concerning clauses ("red flags"). The App provides:

• Rule-based contract analysis (Free tier)
• AI-powered deep analysis with plain-English explanations (Pro tier)
• Risk scoring and recommendations
• Document scanning via camera, PDF import, or photo library

3. Not Legal Advice

IMPORTANT: ContractShield is an informational tool only and does not constitute legal advice. The analysis and recommendations provided by the App are for general informational purposes only and should not be relied upon as a substitute for professional legal advice. Always consult a qualified attorney regarding your specific legal situation.

We make no guarantees about the accuracy, completeness, or reliability of the analysis results. You assume full responsibility for any decisions made based on the App's output.

4. User Accounts and Subscriptions

Free Tier: Basic rule-based analysis is available at no cost.

Pro Subscription: AI-powered analysis is available through auto-renewing subscriptions processed by Apple through the App Store.

• Payment will be charged to your Apple ID account at confirmation of purchase
• Subscription automatically renews unless canceled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your device Settings > Apple ID > Subscriptions
• No partial refunds are provided for unused portions of a subscription period

5. Acceptable Use

You agree to use ContractShield only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the App for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or disassemble the App
• Use the App to analyze documents you do not have the right to access
• Interfere with or disrupt the App's functionality or servers
• Share your subscription access with others

6. Intellectual Property

ContractShield and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws. Our analysis algorithms, rule definitions, and AI models are proprietary technology.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTSHIELD AND ITS DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use of or inability to use the App
• Any decisions made based on the App's analysis
• Any errors or omissions in the analysis results
• Unauthorized access to or alteration of your data

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The App will be uninterrupted, timely, secure, or error-free
• The analysis results will be accurate, complete, or reliable
• Any defects in the App will be corrected

9. Indemnification

You agree to indemnify and hold harmless ContractShield and its developers from any claims, damages, losses, or expenses arising from your use of the App or violation of these Terms.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the App after changes constitutes acceptance of the modified Terms.

11. Termination

We may terminate or suspend your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App will immediately cease. Provisions that by their nature should survive termination shall remain in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
